This may be advantageous to Espana in two ways:

First of all, we would like to clarify that we didn't require XXX to adjust
the PACKAGE nor to resubmit it to YYY. We have made our inquiry about this
matter, and XXX stated that they only made the following adjustment required
by YYY yesterday: to clear the RC Balance of #105300( Time deposit over
3-month) and put the balance to #102300( Time deposit within 3-month). Then
XXX pushed the "PUBLISH" button to inform YYY the adjustment was done. They
emphasized that they did not resubmit the PACKAGE .
The relatively low effective tax rate in 2006 comes from the National Tax
Administration's approval of XXX's 5-year Investment Tax Credit project in
May, 2006. Please refer to ASM. It's a special case, and the effective rate
will return to normal in the following years.
A client (TCMA) of XXX required for late shipping to meet their production
plan. That's why there were inventories on December 31, 2006. These
inventories were shipped on January 1st, 2007, and we did confirm that by
checking the shipping documents.
In 2006 many employees retired and the pension assets was not enough to
afford it. XXX paid off the insufficient part by itself as required by the
regulation. Also obeying ROC's regulation, XXX contributes 2 percentage of an
employee's salary each month into its fund account in the Center Trust, and
recognizes Accrued Pension Cost according to the actuarial report( About NTD
470 million for Local GAAP and NTD 645 million for GRAPH). We have discussed
the actuarial assumptions with the actuary and found they reasonable.
