Employment Agreement (聘用契約)
By and between B&R Co. Ltd. refer to as "Company", and Max Chuang
referred to as "the Employee."
The Company employs Employee and Employee hereby agrees to be
employed on the following terms and conditions:
1. DUTIES: Employee agree to perform the duties set out herein:
research information regarding computer operating systems
review current operating systems, make changes to systems and even
my develop operating systems
maintaining contact with customers, project managers and other
company employees
administrative duties
prepare reports, graphs, charts and evaluations throughout the daily job
routines
employee shall perform such further duties as are customarily performed
by one holding such position in other businesses of the same or similar
nature as that engaged in by Company.

shall pay employee a salary of NT$910,000 per year, for Employee's services.

July 1, 2011.
4. TERMINATION(終止): This agreement may be terminated earlier
upon (1) death of Employee or illness or incapacity(失能) that prevents
Employee from performing his/her duties of a period of more than
three weeks in any calendar year and (2) breach (違反)of the agreement
by Employee. Such option shall be exercised by Employer giving notice
to Employee by certified mail, addressed to him in care of employer.
With such notice, this agreement shall cease(中止) and come to an end
seven days after in which the notice is mailed.
5. MISCELLANEOUS(雜項): (1) Employee agrees not to disclose(洩漏)
any of Company's trade marks during or after the employment. (2) In
the event of any dispute(爭議) over this agreement, it shall be resolved
through binding arbitration(有約束力的仲裁) under the rules of the
Arbitration Association of the ROC.
In witness whereof, both parties have executed this agreement at B&R
Co. Ltd., on July 1, 2011.
